Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;
Compensatory Arrangements of Certain Officers.
On April 15, 2025, Ms. Stephanie Reed notified the Board of Directors (the “Board”) of Tamboran Resources Corporation
(the “Company”) of her intent to resign from the Board effective immediately. At the time of Ms. Reed’s resignation, she was also a
member of the compensation and sustainability committees of the Board. Her decision to resign from the Board was not related to any
disagreement with the Company on any matter relating to its operations, policies or practices.
Item 7.01 Regulation FD Disclosure.
On April 21, 2025, the Company issued a press release (the “Press Release”) announcing Ms. Reed's resignation. A copy of
the Press Release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
